Terms of sale
These terms apply to subscriptions to Spawn's paid plans. The terms of use remain applicable in addition.

Only the French version is legally binding. This translation is provided for information purposes.
1. Scope
These terms apply to any subscription to a paid plan, by a consumer or a professional. They are accepted before any payment and prevail over any other document.
2. Plans and prices
The Free plan has no financial consideration and no fixed term. The Pro plan is offered on a monthly or yearly basis, at the prices displayed on the Pricing page at the time of the order.
Prices are stated in euros. [TO BE COMPLETED — state whether prices are inclusive or exclusive of tax, and the applicable VAT regime: French VAT, intra-community reverse charge, or the small-business exemption with the wording “TVA non applicable, art. 293 B du CGI”].
3. Ordering
Subscription takes place online from the dashboard. It requires an active account and acceptance of these terms. A confirmation email summarises the order.
4. Payment
Payments are processed by Stripe Payments Europe, Ltd. The publisher neither accesses nor stores card numbers: only the data strictly necessary to track the subscription (customer identifier, status, due dates) is retained.
Subscriptions are payable in advance. If a payment fails, access to paid features may be suspended after an unsuccessful reminder.
5. Term and renewal
The subscription is entered into for the chosen period and renews tacitly for identical periods, unless cancelled before the renewal date.
For consumers, article L. 215-1 of the French Consumer Code requires the subscriber to be informed, at the earliest three months and at the latest one month before the term, of their option not to renew the contract. This reminder must actually be sent.
6. Cancellation
The subscription can be cancelled at any time from the dashboard. Cancellation takes effect at the end of the current period: access to paid features is maintained until that date, with no pro-rata refund.
When the subscription ends, the account automatically reverts to the Free plan. Content that depends on a paid feature — in particular the custom stylesheet and video media — stops being served without being immediately deleted.
7. Right of withdrawal
Consumers have fourteen (14) days from the conclusion of the contract to exercise their right of withdrawal, without giving reasons and without penalty.
However, pursuant to article L. 221-28 13° of the French Consumer Code, this right can no longer be exercised for digital content supplied without a physical medium whose performance has begun after the consumer's prior express consent and express waiver of their right of withdrawal. As subscribing to the Pro plan grants immediate access, this consent and waiver are collected explicitly at the time of payment.
This clause is only enforceable if the payment flow genuinely collects both consents, separately and traceably. Otherwise, the fourteen-day period applies in full.
Withdrawal may be exercised by email to [TO BE COMPLETED], or using the standard withdrawal form.
8. Price changes
Prices may change. Any change is notified at least thirty (30) days before it takes effect and only applies from the following renewal period. Subscribers may cancel free of charge before that date.
9. Warranties and liability
The publisher uses reasonable efforts to ensure continuity of service. Statutory warranties of conformity and against hidden defects apply automatically to consumers, irrespective of these terms.
10. Complaints and mediation
Any complaint may be sent to [TO BE COMPLETED — customer service address].
Pursuant to article L. 612-1 of the French Consumer Code, consumers may use a consumer mediator free of charge: [TO BE COMPLETED — name and contact details of the mediator the publisher has signed up with]. The European online dispute resolution platform is available at ec.europa.eu/consumers/odr.
Signing up to a mediation scheme is a legal obligation for any professional selling to consumers in France: it requires a formal process and a contract with a listed mediator.
11. Governing law
These terms are governed by French law. In the event of a dispute, an amicable solution will be sought before any legal action, subject to the protective rules applicable to consumers.
